LLP Registration Documents: What to Collect From Every Partner

LLP registration documents: LLP agreement, partner ID and address proof, DSC for designated partners, office proof

LLP registration documents are simple on paper and slow in practice. Every partner has to send something, and the LLP agreement usually arrives last.

What does an LLP need to register?

The LLP name goes through RUN-LLP. The incorporation is done through FiLLiP. The LLP agreement must be filed in Form 3 within 30 days of incorporation. Collect identity and address proof from each partner, and a digital signature certificate (DSC) from each designated partner.

Before anything is filed, confirm who the designated partners are. They carry the DSC and KYC duties through every later step, so their papers come first. The LLP agreement names the partners too, so keep each partner's name and address exactly as they appear on their ID.

If your client is still choosing between a company and an LLP, compare the company incorporation documents first.

Check the name and the agreement first

Get the proposed name agreed in writing by the partners before the RUN-LLP application goes in. A name that changes after the application wastes the papers already collected for it. The LLP agreement follows incorporation, so ask for the signed draft early. Keep a dated copy of the signed agreement in the LLP folder, because Form 3 must be filed within 30 days of incorporation.

Situation 1: A new LLP being incorporated

  • Identity and address proof from every partner
  • DSC for each designated partner
  • The proposed LLP name and the registered office address
  • Address proof for the registered office, with the owner's NOC if rented
  • A signed draft of the LLP agreement

Add the new LLP to your new client onboarding checklist so partner papers arrive on day one.

Situation 2: An LLP that needs GST registration

The GST list for an LLP is short, but each item has an owner:

  • LLP agreement and certificate of incorporation
  • LLP PAN
  • KYC of the designated partners
  • DSC of the designated partners
  • Address proof and bank proof

Aadhaar authentication or biometric verification applies to the REG-01 application. The GST registration for an LLP guide covers the steps in order.

Situation 3: An LLP filing its annual return

An LLP files its return in ITR-5. Audit cases are usually due 31 October, and non-audit cases 31 July, or the later date notified for your return type. A belated return can be filed by 31 December. Dates can be extended, so check the latest notifications or the portal, including for a revised return.

Papers to collect:

  • LLP agreement, with any amendments during the year
  • Bank statements for the LLP account
  • Sales and purchase records, and GST returns
  • TDS certificates and the TDS returns filed
  • Audit report, if an audit applies

Keep each year's papers in Reposha, so the next annual return starts from a complete folder. The complete ITR filing checklist explains the general list.

Situation 4: A partner joins or leaves mid-year

The papers for an incoming partner follow the same pattern as incorporation: identity proof, address proof and, for a designated partner, a DSC. The papers of an outgoing partner stay in the LLP folder, not in that partner's inbox.

A change of partners is reported to the Registrar of Companies, generally in Form 4, within 30 days. If the change also amends the LLP agreement, the amended agreement is filed in Form 3, again within 30 days. Diarise both dates on the day the partner joins or leaves, and ask the LLP for the signed amendment straight away.

Collect every partner's papers in one round

Each partner uploads as a Client, into a folder of their own. Reposha, the best client document portal in India, sends one upload link for each request, so every partner sees only what that request asks for. Partners upload from a phone or laptop with no account to create. Every file is logged on open and on download. Upload pages come in English and Hindi, and the link and one-time code arrive as two WhatsApp messages.
