Director Appointment Documents: What a Company Needs for a New Director

Director appointment documents: DIN, DIR-2 consent, DIR-8 declaration, MBP-1 disclosure and DIR-12 within 30 days

Director appointment documents usually go missing in the gap between the board meeting and the filing. The minutes say yes, the director is willing, and the DIN is somewhere in an email from last month. By then the 30-day clock is already running.

To appoint a new director, the company needs the director's DIN, a signed consent in Form DIR-2, and a DIR-8 declaration that the director is not disqualified under section 164. The appointment is then filed in DIR-12 within 30 days, under section 170. Identity papers and the disclosure of interest complete the file.

Director appointment timeline: DIN and papers first, consent and declaration next, DIR-12 filed within 30 days

Day 0: Confirm the DIN before anything else

The DIN comes first, because the law needs it before the appointment (section 152(3)). Check the director's DIN against the record and note it on the file. If the person has no DIN, get one before the board discusses the appointment. The company incorporation documents guide covers the first directors at incorporation. This article covers a director who joins later.

Day 1 to 3: Collect the identity papers

Ask the director for these in one request:

  • PAN
  • Aadhaar
  • Proof of current address
  • A recent photograph
  • A valid DSC

Each paper matches a field in the filing: identity, address and signature. Ask for them together, so the director gets one request, not several.

A foreign national director needs more papers than a resident one, so confirm the list for that case before you send the request.

Day 4 to 7: Sign the consent and the declaration

DIR-2 is the director's consent to act. DIR-8 is the declaration that the director is not disqualified under section 164. Get both signed and dated before the board meets, so the appointment rests on signed papers. Put the MBP-1 disclosure of interest on the agenda for the first board meeting of the financial year in which the director holds office.

Day 8 to 30: File DIR-12 within 30 days

DIR-12 is filed within 30 days of the appointment, under section 170. Count the 30 days from the appointment date in the minutes. If the date in the minutes and the date on the papers differ, fix the minutes first. The 30 days run from the appointment, so the minutes decide the deadline. Dates can be extended, so check the latest MCA notifications or the portal before you rely on the count.

Why the order matters

Most delays come from the DIN and the consent, not from the form itself. DIR-12 can only be filed once the director's details are complete, so the identity papers and the signed consent come first. Keep the minutes, the consent and the identity papers in one folder, so the filing team does not have to chase any of them.

Keep the director file with the company

Keep the DIN note, DIR-2, DIR-8, MBP-1 and the DIR-12 acknowledgement together in the company's folder. A simple register of each director's DIN, appointment date and filing date saves the next search. Once the director is on the register, the DIR-3 KYC papers run on their own three-year cycle. If the board also moves the office in the same year, the registered office change papers are a separate file.

Collect the director papers in one round

Reposha, a WhatsApp alternative for client documents, lets you send each director one upload link. The director uploads from a phone or laptop. No account is needed, and the pages come in English and Hindi. The link and the one-time code arrive as two separate WhatsApp messages. Every file lands in the company's folder, and every open is logged.

Reposha keeps the appointment file beside the company's earlier filings, so the next board change starts from a full folder. Start a folder for the company at reposha.com.
