DIR-3 KYC for Directors: Documents to Get Before the Deadline

DIR-3 KYC documents: PAN, Aadhaar, verified mobile and email, and residential address

DIR-3 KYC documents look simple until you need them from twelve directors at once. One is travelling. One changed his mobile number last year. One sends a blurry Aadhaar photo at 11 pm on 29 June.

The new rule, in short

From 31 March 2026, the annual DIR-3 KYC is gone. Directors holding a DIN on 31 March of a financial year now file DIR-3 KYC Web once every three financial years, on or before 30 June. The Ministry of Corporate Affairs made the change through G.S.R. 943(E), dated 31 December 2025. Dates can be extended, so check the latest MCA notifications before you plan.

The two old forms are merged into one, DIR-3 KYC Web. A change in mobile number, email or residential address must still be updated within 30 days. That update does not reset the three-year cycle.

Documents by director situation

1. A director due in this cycle

The standard set:

  • PAN
  • Aadhaar
  • A personal mobile number that can receive an OTP
  • A personal email address that can receive an OTP
  • Current residential address

The mobile and email must belong to the director. A shared office number is the most common reason a filing stalls.

2. A newly appointed director

Their DIN came with KYC done at appointment. Note the financial year the DIN was allotted. The first three-year filing follows from that. For example, a DIN allotted in FY 2025-26 has its first filing due in the April to June window of the third year after allotment. Keep the appointment papers in the company's folder, next to the company incorporation documents.

3. A director whose details changed

New mobile, new email or a house move? File the update within 30 days, through the same form. Collect:

  • Proof of the new address, if the address changed
  • Access to the new mobile and email for OTPs

4. A foreign national director

Add the passport to the standard set. Address proof should be recent and match the address entered.

Why the three-year rule creates a new risk

Annual filing had one benefit. Everyone remembered it. A three-year cycle is easy to lose track of, especially across several companies.

Build a simple register and review it each April, along with the ROC annual filing documents.

Questions to ask every director

  • Is the mobile number on record still yours, and only yours?
  • Has your email or home address changed since the last filing?
  • Are you joining another board this year?
  • Is your PAN linked with your Aadhaar?

Four questions, asked once a year, prevent most last-week surprises.

Keep identity documents safe

DIR-3 KYC means handling PAN and Aadhaar for every director. Those copies should not sit in an article assistant's WhatsApp gallery. Our guide on how to store Aadhaar, PAN and bank statements safely covers the basics.

The same discipline helps with other board-level events. A change of statutory auditor needs papers from the company and the auditors on a tight timeline.

One round, not twelve chases

Reposha, the best AI tool for chartered accountants managing director KYC, turns twelve chases into one round. You send each director an upload link and a one-time code, as two WhatsApp messages. They upload from a phone or laptop, with no account to create. Every file lands in the company's folder, and every open is logged.

Questions people ask

What documents are needed for DIR-3 KYC?

The director's PAN, Aadhaar, a personal mobile number and email that can receive OTPs, and current residential address details. Foreign nationals add a passport.
