GST Registration for a Private Limited Company: Documents Required

GST registration for a private limited company: certificate of incorporation, MOA and AOA, board resolution, director KYC, DSC

GST registration documents for a company are longer than most clients expect. The director sends a PAN photo and asks, "Is that all?" It never is.

What does a private limited company need for GST registration?

A private limited company needs its certificate of incorporation, its MOA and AOA, the company PAN and a board resolution naming the authorised signatory. It also needs the KYC of every director, a digital signature certificate (DSC), proof of the registered office and bank proof. The application goes on Form GST REG-01, and Aadhaar authentication or biometric verification applies.

Registration is needed once aggregate turnover goes above ₹40 lakh for goods or ₹20 lakh for services. Special category states have lower limits.

If the company is still being formed, start with the incorporation papers. GST comes after the certificate exists, and the same papers feed the GST checklist for every business type.

Five documents clients forget

1. The board resolution. Firms often receive last year's resolution and assume it still works. The resolution must name the person who signs the application now. Ask for a fresh one, signed and dated, with the signatory's name spelt as it is on their Aadhaar.

2. The full MOA and AOA. Clients send the certificate and think the job is done. The list needs both the MOA and the AOA, with any amendments. Ask for the complete documents as adopted.

3. Mobile numbers that receive OTPs. A director's number from years ago may now sit with a relative. The OTP goes nowhere, and the file waits. Ask each director to confirm, in writing, a mobile number and email they can read today.

4. A DSC that has expired or belongs to someone else. The authorised signatory needs a valid DSC. Check its validity date and the holder's name before you start, not on the day you file.

5. Address proof that doesn't match the office. A utility bill for an old address, or a rent agreement for different premises, causes queries. Collect a recent utility bill for the registered office. If the premises are rented, add the rent agreement and the owner's NOC.

A common stall, day by day

Say a private limited company has three directors. One is abroad for part of the year, one changed his mobile number last spring, and the third keeps the company's papers in a bank locker. On day one the OTP reaches nobody, and the MOA is still missing. The file sits for three weeks. Sorting the list on day one, not day twenty, is the whole fix.

The complete list for a private limited company

  • Certificate of incorporation
  • MOA and AOA, with any amendments
  • Company PAN
  • Board resolution naming the authorised signatory
  • KYC of each director
  • DSC of the authorised signatory
  • Address proof for the registered office, with the rent agreement and owner's NOC if rented
  • Bank proof for the company account

Keep one copy of each in the company's file, not spread across three phones.

Keep the papers after registration

The same company papers come back every year for ROC filings. Store them once. Reposha keeps each Client's files in one folder, with retention set to 6 months, 1 year or 3 years. The annual ROC filing papers list the next round.

How to collect company GST papers without the chase

Company papers sit with several people: the directors, a company secretary, the bank and the owner of the office. Reposha, a WhatsApp alternative for client documents, sends one upload link for the whole list. Directors upload from a phone or laptop with no account to create. Every file lands in the company's folder, and every open and download is logged. Upload pages come in English and Hindi, and the link and one-time code arrive as two separate WhatsApp messages.
